Vendor Terms & Jurisdiction

All disputes, claims, or controversies arising out of or relating to these Vendor Terms or use of the Platform as a Seller shall be governed by the laws of the Republic of Estonia, and shall be submitted to the exclusive jurisdiction of the Harju County Court (Harju Maakohus) in Tallinn, Estonia.

Section 1: Multi-Country Governing Law Clause (Rome I Reg. Art. 6)

Consumer contracts are governed by the laws of the country of the consumer's habitual residence, ensuring non-waivable statutory consumer protections under EU law. B2B Vendor agreements are governed exclusively by Estonian law and Harju County Court (Tallinn, Estonia).

Section 11: Schedule X — Independent Controller Data-Sharing Clause (GDPR)

Under GDPR Regulation (EU) 2016/679, Fromtribe OÜ and the Seller act as separate, independent data controllers (and not joint controllers pursuant to Article 26 GDPR) with respect to customer personal data transferred during order fulfillment. Both parties covenant to:
1. Process customer data strictly for order fulfillment, delivery, and statutory warranty compliance.
2. Implement appropriate technical and organizational security measures under Article 32 GDPR.
3. Provide mutual notification of any personal data breach within 72 hours of becoming aware.
4. Respond to data protection inquiries or Data Subject Access Requests (DSAR) within a 48-hour response window to support Article 33 GDPR deadlines.

Section 14: Content Licensing Clause & IP Indemnity

By uploading product descriptions, media, photography, trademarks, or brand assets to the Platform, Seller grants Fromtribe OÜ a non-exclusive, royalty-free, worldwide, transferable license (with right to sublicense solely to technical hosting, CDN, search indexing, and social distribution partners) to use, display, reproduce, format, and distribute such Content for purposes of operating and promoting the Platform. This license survives termination solely for historical records, completed campaigns, and legal audit archives. Seller warrants that it owns or holds all necessary intellectual property rights and agrees to fully indemnify and hold harmless Fromtribe OÜ against third-party IP infringement claims.

Section 15: Suspension and Termination Grounds (DSA Regulation EU 2022/2065 Art. 23)

Fromtribe OÜ may suspend or terminate a Seller's account under the following conditions:
1. Grounds for Suspension: Listing prohibited/recalled goods, repeated fulfillment failures (>5% dispute rate), failure to provide valid KYBC identification, or posting manifestly illegal content after receiving a formal prior warning (DSA Art. 23).
2. Grounds for Termination: Material breach of these Terms, severe fraudulent activity, insolvency, repeated IP infringement, or failure to remedy a suspension within 30 days.
3. Statement of Reasons (DSA Art. 17): Except where required by law enforcement or in emergency security situations, Fromtribe OÜ shall provide the Seller with a detailed Statement of Reasons at least 30 days prior to effective termination.
4. Internal Complaint & Appeals System (DSA Art. 20): Sellers may appeal any restriction, suspension, or termination decision free of charge within 6 months by emailing legal@fromtribe.com.

Section 16: Schedule Y — Prohibited Products Policy

Sellers on FromTribe strictly agree not to list, offer, or distribute any items falling into the following prohibited categories:
1. Firearms, weapons, explosives, ammunition, or military-grade tactical equipment.
2. Controlled substances, illicit drugs, prescription pharmaceuticals, or unapproved supplements.
3. Regulated foods or perishables lacking mandatory EU food safety labeling.
4. Age-restricted goods without verified age-gating compliance infrastructure (e.g. tobacco, e-cigarettes, adult items).
5. Counterfeit goods, replicas, unauthorized trademark copies, or stolen property.
6. Hate speech, discriminatory merchandise, or banned extremist symbols.
7. Any consumer products recalled or flagged on the European Commission Safety Gate (RAPEX) alert portal.
Fromtribe OÜ conducts automated and periodic cross-checks against the EU Safety Gate registry and reserves the right to immediately suspend listings and vendor memberships for violations.

Section 17: Narrow Most Favored Nation (MFN) Parity Clause

Sellers agree that product pricing on FromTribe shall maintain parity with their own direct-to-consumer (DTC) store.

Section 18: Vendor Self-Billing Procedure (VAT Directive 2006/112/EC Art. 224)

Fromtribe OÜ and Sellers operate under an automated self-billing arrangement for marketplace commission invoices and remittance receipts.

Section 19: General Product Safety Regulation (GPSR Regulation EU 2023/988)

Under Article 22 of the General Product Safety Regulation (GPSR), Fromtribe OÜ maintains a designated single point of contact for product safety communications from EU market surveillance authorities and consumers: safety@fromtribe.com.
Fromtribe OÜ actively monitors notices from the European Commission Safety Gate (RAPEX). In the event of a dangerous product notification, safety recall, or order issued under Article 22(4), Fromtribe OÜ executes listing removals and notifies affected customers within two (2) working days. Sellers warrant that all items offered comply with EU technical, safety, and labeling regulations and that an EU Responsible Person is established where mandated.

Section 20: Extended Producer Responsibility (EPR) & Packaging Laws

In compliance with EU packaging directives and national Extended Producer Responsibility regulations, Sellers shipping physical goods to consumers within the EU must fulfill mandatory registration obligations in destination member states, including Germany (VerpackG / LUCID register via ZSVR), France (ADEME / CITEO), and Poland (BDO register). Sellers shall provide their valid EPR registration numbers upon request.

Section 21: Value Added Tax (VAT) — EU One Stop Shop (OSS) & Deemed Supplier Model

Fromtribe OÜ is registered for the EU One Stop Shop (OSS) VAT scheme in the Republic of Estonia. For intra-EU distance sales of goods facilitated through the Platform to consumers (B2C), Fromtribe OÜ acts as the deemed supplier pursuant to Article 14a of EU VAT Directive 2006/112/EC, calculating, collecting, and remitting destination-based VAT across all EU member states. For B2B transactions with verified VIES VAT numbers, supplies are treated under the intra-Community reverse charge mechanism.

Section 22: GDPR Art 33 Security Incident & Data Breach Protocol

Fromtribe OÜ maintains a 72-hour supervisory authority notification workflow for personal data incidents pursuant to GDPR Art. 33. Security vulnerabilities, suspected personal data breaches, or incident reports may be submitted directly to security@fromtribe.com.
